1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the website thedeepintelligence.com (the “Site”) and any inquiries you submit to The Deep Intelligence (“The Deep Intelligence”, “we”, “our”, or “us”). By using the Site or contacting us through it, you agree to these Terms.
Paid consulting engagements are governed by a separate written Master Services Agreement (“MSA”) and Statement of Work (“SOW”) signed by both parties. In case of conflict, the MSA and SOW take precedence over these Terms.
2. About the Site
The Site is a marketing and inquiry portal for our robotics simulation and Physical AI consulting services. Content on the Site is provided for informational purposes only and does not constitute an offer to perform services, guarantee of outcomes, or engineering advice until a signed SOW is in place.
3. Inquiries & discovery calls
Submitting an inquiry or booking a discovery call does not create an engagement or obligate either party. A consulting relationship is formed only upon mutual execution of an MSA and SOW. We are happy to execute a mutual non-disclosure agreement before any substantive technical discussion.
4. Intellectual property
4.1 Our Site content
All text, code, designs, trademarks, and other materials on the Site are owned by The Deep Intelligence or our licensors and are protected by applicable intellectual property laws. You may view and share the Site, but may not copy, modify, republish, or use it for commercial purposes without our written permission.
4.2 Client deliverables
Ownership, licensing, and escrow of deliverables produced during a consulting engagement — including code, models, assets, and documentation — are defined in the applicable SOW. Our default preference is to assign ownership of client-specific deliverables to the client upon payment, while retaining rights to reusable background IP, tooling, and generalized know-how.
5. Confidentiality
We treat all non-public information you share with us as confidential. We will not disclose engagement details, client identities, source code, data, or materials outside The Deep Intelligence, and we expect the same treatment of any proprietary information we share with you. We are NDA-ready from day one.
6. Acceptable use of the Site
You agree not to:
- Attempt to probe, scan, or test the vulnerability of the Site or its infrastructure without our prior written consent.
- Submit material that is unlawful, defamatory, infringing, or contains malware.
- Use automated tools to scrape, mirror, or overload the Site.
- Impersonate another person or misrepresent your affiliation with any organization when submitting an inquiry.
7. Third-party services
The Site relies on third-party providers (for hosting, form handling, and scheduling). Your use of those services through the Site is also subject to their terms. We are not responsible for the acts or omissions of third parties beyond the contractual obligations we have placed on them.
8. Warranties & disclaimers
The Site is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Warranties and service levels applicable to a specific engagement will be defined in the corresponding SOW.
9. Limitation of liability
To the fullest extent permitted by law, The Deep Intelligence, its partners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Site. Liability arising from a paid engagement is capped as set out in the applicable MSA/SOW.
10. Indemnification
You agree to defend and indemnify The Deep Intelligence against claims arising from your misuse of the Site, your violation of these Terms, or your violation of any applicable law or third-party right.
11. Governing law & jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located at our registered office in India, unless a different forum is agreed in a signed MSA.
12. Changes
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
